End User License Agreement (EULA) Effective Date: Jan 1, 2026

This End User License Agreement ("Agreement") is between Brisc AI Inc. ("Brisc," "we," "us") and the entity or individual ("Customer," "you") accessing or using Brisc's software services through the Microsoft Azure Marketplace or otherwise.

1. License Grant Subject to the terms of this Agreement and payment of applicable fees, Brisc grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Brisc platform solely for your internal business operations during the subscription term.

2. Restrictions You may not: (a) sublicense, resell, or distribute the platform to third parties; (b) reverse engineer or attempt to extract source code; (c) use the platform to build a competing product; or (d) access the platform in a way that exceeds the scope of your subscription.

3. Customer Data You retain all rights to data you submit to the platform. Brisc processes your data solely to provide the service and does not sell or share your data with third parties except as required to operate the platform or as required by law. Data processing is governed by Brisc's Privacy Policy at brisc.ai/privacy.

4. Fees and Payment Fees are set out in your order or private offer through the Microsoft Azure Marketplace. Brisc reserves the right to suspend access for non-payment after reasonable notice.

5. Term and Termination This Agreement begins on the date you first access the platform and continues for the subscription term. Either party may terminate for material breach with 30 days written notice if the breach is not cured. On termination, your license ends and Brisc will make your data available for export for 30 days.

6. Warranties and Disclaimer Brisc warrants that the platform will perform materially as described in its documentation. Except as stated here, the platform is provided "as is." Brisc disclaims all other warranties, express or implied, including fitness for a particular purpose.

7. Limitation of Liability To the maximum extent permitted by law, Brisc's total liability under this Agreement shall not exceed the fees paid by you in the 12 months preceding the claim. Neither party shall be liable for indirect, incidental, or consequential damages.

8. Governing Law This Agreement is governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
